Minimum Advertised Price (“MAP”) Policy — North America

Subject to Change: Algo reserves the unilateral right to amend, suspend, or terminate this Policy at any time, without prior notice. 

 
1. Purpose 

The purpose of this Minimum Advertised Price (“MAP”) Policy is to protect the integrity, reputation, and value of the Algo Communication Products brand; maintain a fair and competitive marketplace among authorized distributors and resellers; and ensure consistent representation of Algo’s professional-grade communication and alerting solutions. This Policy supports resellers who invest in technical expertise, configuration, and post-sale support by preventing destructive price competition that can erode brand equity and margin stability. 

 
2. Scope 

This Policy applies to all distributors, resellers, dealers, retailers, and online sellers (collectively, “Resellers”) of Algo Communication Products Ltd. (“Algo”) operating within the North American market. It covers all Algo Products listed on the official Algo Price List, which may be updated from time to time. 

For Algo, the Minimum Advertised Price (MAP) equals the Manufacturer’s Suggested Retail Price (MSRP) in the applicable local currency of sale. U.S. Resellers must comply with the USD MSRP, Canadian Resellers with the CAD MSRP or CAD MAP, and other North American Resellers with the MSRP in the local equivalent currency. 

 
3. Unilateral Policy Statement 

This MAP Policy is a unilateral statement of policy by Algo. It does not constitute, nor shall it be interpreted as, an agreement between Algo and any Reseller. Resellers remain free to determine their own resale prices. However, Algo may, at its sole discretion, refuse to supply, suspend shipments, or revoke authorization for any Reseller that advertises Algo Products below MSRP. 

 
4. Definition of “Advertised Price” 

“Advertised Price” refers to any publicly viewable or communicated price made available to consumers or the market at large. This includes, but is not limited to: 

  • Public e-commerce listings, including Amazon, eBay, or similar sites 
  • Distributor or reseller websites and webstores 
  • Social media, email campaigns, or digital advertising with pricing references 
  • Printed materials, catalogs, and publicly distributed price sheets 
  • Public quotations or bundled promotions that effectively reduce the visible price below MSRP 

Any mechanism designed to circumvent MAP is deemed a MAP violation. 

 
5. Online Retail Restriction 

“Online Retail” refers to the marketing or sale of Algo Products directly to end customers via the Internet without associated installation, configuration, or support services. Unless expressly approved by Algo in writing, Distributors and Resellers are prohibited from engaging in online retail. Prohibited actions include: 

  • Operating consumer-facing online stores without authorization 
  • Listing Algo Products on Amazon, eBay, or comparable consumer platforms without authorization 
  • Publishing Algo Product data feeds to online marketplaces or aggregator sites 
  • Allowing downstream customers to engage in online retail of Algo Products 

Resellers shall cooperate with Algo to prevent and correct any unauthorized online retail activity, including ceasing sales to entities engaged in such activity. 

6. Policy Enforcement 

Algo maintains a zero-tolerance policy for MAP violations. Violations will result in immediate action, which may include written notice, suspension of shipments, removal from authorized reseller status, or termination of the business relationship. Algo reserves full discretion to determine whether a violation has occurred. 

Potential enforcement actions include: 

  • Written notice of violation with a specified cure period (typically 24–72 hours) 
  • Suspension of shipments or allocation of products 
  • Revocation of eligibility for marketing funds or promotional incentives 
  • Permanent termination of authorized reseller or distributor status 

Algo endeavors to enforce this Policy fairly and uniformly. However, Algo retains sole discretion to apply differing measures where necessary to protect its commercial interests. 

 
7. Legal and Compliance Framework 

This Policy governs only the advertised price of Algo Products. Resellers remain free to sell at any price in private transactions. In the United States, this Policy complies with the Colgate doctrine and related antitrust principles governing unilateral pricing policies. In Canada, the Policy is structured to comply with Section 76 of the Competition Act, avoiding any conduct that could constitute price maintenance or restrict competition. 

This Policy is not an agreement to fix resale prices. It is intended to preserve competitive integrity, ensure transparency in advertised pricing, and protect Algo’s brand value. 

 
8. Reservation of Rights 

Algo reserves the right to modify, suspend, or terminate this MAP Policy at any time. Any changes take effect upon publication or written notification to Resellers. Algo also reserves the right to determine all aspects of enforcement, including the interpretation and application of this Policy. 

 
9. Miscellaneous 

9.1 Severability: If any provision is held invalid, the remaining provisions shall remain in full force and effect. 

9.2 No Waiver: Failure to enforce any term of this Policy shall not constitute a waiver of Algo’s rights. 

9.3 Governing Law: This Policy shall be governed by the laws of British Columbia, Canada.
